In short: work is paid in advance. Payments are non-refundable unless we deliver nothing for a paid period or we both agree to cancel. You must own or have permission for everything you send us. You own the final videos once they're paid for. Everything you share stays confidential. Results like views or sales are never guaranteed. The full terms below are what apply.
1. Agreement
These Terms of Service ("Terms") are an agreement between Biz Edits ("BizEdits", "we", "us") and the person or business using our services ("you", "the client"). By requesting a sample, accepting a quote, paying an invoice or sending us footage, you agree to these Terms. If a signed proposal or order form conflicts with these Terms, the proposal wins for that specific point only.
2. Services and scope
We edit video: long-form YouTube and podcast episodes, short-form clips and related deliverables. What is included in each plan or project (number of videos, lengths, formats, revision rounds and extras) is set out in your proposal, invoice or plan description ("Scope"). Anything outside the Scope, including new footage, new direction, additional versions, rush delivery, motion graphics, thumbnails or project-file handover, is extra work. We'll quote it before doing it.
3. Free sample edits
- We offer one free 1-2 minute sample edit per business. We may decline any sample request without giving a reason.
- We aim to deliver samples within 24 hours of receiving usable footage. This is a target, not a guarantee.
- Samples are for evaluation only. They may carry a watermark and may not be published, posted, broadcast or used commercially unless you go on to buy a plan or project. All rights in a sample stay with us until then.
- The same rules about your footage (sections 9 and 10) apply to samples.
4. Payment
- Monthly plans are billed in advance at the start of each billing cycle and renew automatically until cancelled.
- One-off projects are paid in full before work starts, unless we agree a different schedule in writing.
- Work starts, and turnaround times begin, only once payment has cleared.
- If a payment is late or fails, we may pause all work and withhold deliverables until the account is paid in full. Turnaround times restart once payment clears.
- Monthly plan volume is use-it-or-lose-it. Unused edits do not roll over to the next cycle or convert to credit, unless we agree otherwise in writing.
- Prices exclude any taxes, bank charges or payment processing fees, which are your responsibility.
- We may change plan prices with at least 30 days' notice. The new price applies from your next billing cycle after the notice period.
5. Refunds and chargebacks
All payments are non-refundable, except in these two cases:
- No work delivered. If we deliver no work at all for a paid billing cycle or project, for reasons within our control, you are entitled to a refund of the fee for that cycle or project.
- Mutual cancellation. If you and we both agree in writing to cancel a project, we refund the fees for work that has not yet been started, less any costs already incurred (such as licensed music or stock). Work already delivered or in progress is not refunded.
Dissatisfaction with style, creative choices or results is handled through revisions (section 7), not refunds. Before disputing any charge with your bank or card provider, you agree to contact us at studio@bizedits.com and give us 14 days to resolve the issue. Opening a chargeback for work that was delivered is a breach of these Terms, and we may recover the disputed amount and any associated fees.
6. Cancelling a monthly plan
You can cancel a monthly plan by email at least 14 days before your next billing date. Cancellation takes effect at the end of the current paid cycle: we finish the work for that cycle and there is no partial refund for the remaining period. Notice received less than 14 days before the billing date takes effect at the end of the following cycle, which will be billed.
7. Revisions and approval
- Each deliverable includes between 3-5 rounds of revisions, as stated in your Scope. A round is one consolidated set of feedback on a draft.
- Revisions cover changes within the original brief. A new concept, new footage, a different style or changes to an already approved version are new requests and may be charged.
- Please send feedback within 7 days of receiving a draft. If we don't receive feedback within that time, the draft is treated as approved and final.
- A deliverable is also treated as approved once you publish it or use it in any way.
8. Turnaround
Our turnaround times, including first drafts within 48-72 hours and samples within 24 hours, are targets based on typical projects, not guarantees. They start only once we have usable footage, a complete brief and cleared payment. Delays caused by missing or unusable files, late feedback, changes to the brief, third-party services or events outside our control extend timelines accordingly. Missing a target is not grounds for a refund or for withholding payment.
9. Your content and responsibilities
You are responsible for everything you send us ("Client Materials") and for how the finished videos are used. You confirm that:
- You own the Client Materials or have every right, licence and permission needed for us to edit them, including written consent from every person who appears or is heard in them.
- Client Materials and any music, logos or assets you ask us to use do not infringe anyone's rights or break any law.
- You are solely responsible for the accuracy, legality and compliance of what is said and claimed in your videos, including advertising, consumer protection, financial, medical and platform rules.
- You review every deliverable before publishing it. Once you approve or publish a video, its content is your responsibility.
You agree to indemnify and hold BizEdits, its owners, editors and contractors harmless from any claims, losses, damages, fines and costs (including reasonable legal fees) arising from Client Materials, your published content, or your breach of these Terms.
We may refuse to edit, or stop editing, content we reasonably believe is unlawful, harmful, misleading or infringing.
10. Medical and health content
- We edit video. We do not give medical, legal or regulatory advice, and we do not review content for medical accuracy or compliance.
- Only send footage of patients or clients who have given written consent to appear in published content. Do not send medical records, test results or any patient information that is not meant to be in the final video.
- You are responsible for patient consent and for compliance with health privacy and advertising laws that apply to you (for example HIPAA in the US or UK/EU GDPR). We do not act as a business associate or data processor for patient health records, and we do not sign business associate agreements unless agreed separately in writing.
11. Ownership and licences
- You keep ownership of your Client Materials.
- Once you have paid in full for a deliverable, you own the final exported video and may use it anywhere, without limit. Until it is paid for, all rights stay with us and you may not publish or use it.
- We keep ownership of our working files, project files, templates, presets, graphics systems and know-how. Editable project files are not included unless your Scope says so.
- Licensed music, stock footage, fonts and other third-party assets are used under their own licences. Your rights to those parts are limited to what the licence allows, and some licences only cover the specific video they were used in.
12. Portfolio use
We may show finished, published work in our portfolio, website, social media and sales material, and name you as a client. If you'd rather we didn't, tell us in writing before final delivery, or sign an NDA with us that says so, and we won't. We never show samples, unpublished work or work covered by an NDA without your permission.
13. Confidentiality (NDA)
These confidentiality terms apply automatically to every client and every sample request. No separate document is needed, although we're happy to review and sign a reasonable NDA of your own.
- What is confidential: unpublished footage, scripts, business information, strategies, pricing and anything either of us marks or clearly treats as confidential ("Confidential Information").
- What we each promise: to use the other's Confidential Information only to deliver or receive the services, to share it only with people who need it for that purpose and are bound by confidentiality, and to protect it with reasonable care.
- What is not confidential: information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is received lawfully from someone else. Either of us may disclose information when required by law, after giving the other notice where legally allowed.
- How long it lasts: during our work together and for 2 years after it ends.
- Once you publish a video, its content is no longer confidential. Confidentiality does not stop either of us from using general skills and experience gained during the work.
- We are not responsible for disclosures caused by your own actions or by file-sharing, storage or communication services you choose or ask us to use, beyond taking reasonable care on our side.
14. Our team and tools
We may use employees, freelance editors and contractors to deliver the work. Everyone who works on your content is bound by confidentiality, and we remain responsible for their work. We use software tools, including AI-assisted tools, for steps such as transcription and rough selects. Every edit is reviewed by a human editor before delivery.
15. Non-solicitation
While we work together and for 12 months afterwards, you agree not to directly hire or engage any editor or contractor you were introduced to through BizEdits, without our written agreement. If you do, you agree to pay a placement fee equal to three months of your most recent monthly plan fee (or, for project clients, the total of your last project), to cover the cost of recruiting and training.
16. No guaranteed results
We edit to a professional standard, but we do not and cannot guarantee views, subscribers, engagement, leads, sales, revenue, monetisation, search rankings or that any platform will accept, recommend or keep your content online. Platform decisions, copyright claims and algorithm changes are outside our control.
17. Limitation of liability
- The services are provided with reasonable skill and care. Apart from that, they are provided "as is", without other warranties.
- We are not liable for any indirect or consequential loss, or for lost profits, revenue, business, opportunity, data or reputation, however caused.
- Our total liability for any claim connected with our services is limited to the fees you paid for the specific project, or for the single billing cycle, that the claim relates to.
- Nothing in these Terms limits liability that cannot be limited by law.
18. Files and storage
We are not a storage or backup service. Always keep your own copies of your footage and final videos. We delete Client Materials and project files 30 days after final delivery, or after your plan ends, unless we agree in writing to keep them longer. We are not responsible for files lost after that period or through third-party services.
19. Ending our work
We may pause or end our work with you immediately if you don't pay, breach these Terms, provide unlawful content, or treat our team abusively. In that case, fees already paid are not refunded, and any unpaid fees for work done become due straight away. Sections on payment, refunds, ownership, confidentiality, non-solicitation, liability and indemnity continue after our work ends.
20. Website content
The design, layout, text, graphics, animations, code and branding of this website, including the BizEdits name and logo, are owned by Biz Edits and protected by copyright and trademark law. You may not copy, reproduce, republish, scrape or create derivative versions of them, in whole or in part, without our written permission. Videos shown in our portfolio belong to us or to our clients and are displayed with permission.
21. General terms
- Events outside our control: we are not liable for delays or failures caused by events beyond our reasonable control, such as outages, illness, natural events or third-party service failures.
- Changes: we may update these Terms. The version on this page when you place an order or renew applies.
- Whole agreement: these Terms and your proposal or invoice are the entire agreement between us about the services.
- Severability: if any part is found unenforceable, the rest stays in effect.
- Assignment: you may not transfer this agreement without our written consent.
- Disputes: we'll both try to resolve any dispute in good faith by email first. If that fails, these Terms are governed by the laws of India, and the courts of India have exclusive jurisdiction.
